Terms of Service
Last updated October 30, 2026
These Terms of Service (the “Terms”) are a binding agreement between you and Thoth AI LLC (“Thoth,” “we,” or “us”), which runs thoth-ai.com, the Thoth app, and the websites published with it (together, the “Service”). By creating an account, clicking to continue, or using the Service, you agree to these Terms and our Privacy Policy. If you don’t agree, don’t use Thoth. Please read the “Disputes and arbitration” section: it says most disputes will be settled by individual arbitration instead of in court, and it waives class actions.
1. Who can use Thoth
You must be at least 13 years old to use Thoth. If you are under 18 (or under the age of adulthood where you live), you may use Thoth only with the permission and supervision of a parent or legal guardian. By allowing you to use Thoth, your parent or guardian agrees to these Terms for themselves and on your behalf, and is responsible for your use of the Service.
Paying for a plan, accepting payments from customers, connecting a payment account, or making contracts with suppliers must be done by an account holder who is 18 or older. That adult is responsible for those activities and for any business run through the account.
You may not use Thoth if you are barred from doing so under the laws of the United States or where you live, including U.S. sanctions laws. If you use Thoth for a business or organization, you agree to these Terms on its behalf and confirm that you have authority to do so.
2. Your account
Give accurate information when you sign up and keep it up to date. Keep your sign-in details secure and tell us right away at thoth.ai.biz@gmail.com if you think someone else has accessed your account. You are responsible for everything that happens under your account. One person may not share an account with others or create accounts to get around plan limits or a suspension.
3. What Thoth does, and what it doesn’t
Thoth provides software tools and AI-generated suggestions for planning, building, and running a business. Thoth is a tool, not a business partner, employee, agent, or co-owner of your business, and nothing in the Service creates a partnership, joint venture, or agency relationship between you and us.
Thoth is not a lawyer, accountant, tax advisor, financial advisor, or investment advisor, and nothing in the Service is professional advice. Before you make important decisions, such as about taxes, business registration, licenses and permits, contracts, insurance, product safety, labeling, or regulated products, check with a qualified professional.
Estimates of costs, prices, profits, demand, and other numbers are estimates, not promises. Thoth does not guarantee income, sales, profit, or any business result. Starting a business involves risk, including the risk of losing the money you put in.
Thoth finds suppliers, manufacturers, and other businesses through web search. We do not vet, endorse, or guarantee any of them, and we are not part of any deal between you and them. Check them yourself before you send money or sign anything.
Thoth asks you to confirm before it publishes, sends, or spends anything. You make the final decision, and you are responsible for what you publish, send, buy, and sell.
4. AI output
Thoth uses artificial intelligence. AI output can be wrong, incomplete, out of date, offensive, or similar to content created for other people, and it may not be protected by copyright. Review all output before you rely on it or use it, especially names, logos, product claims, prices, and anything legal, medical, or safety related. Make sure your use of output, including any business name or logo, doesn’t infringe someone else’s trademark, copyright, or other rights. Don’t present AI output as human-written where that would mislead people.
5. Your content
You own the content you put into Thoth and, as between you and us, the plans, websites, and other materials you create with it (your “Content”). You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, and transmit your Content only as needed to provide, secure, and support the Service for you, to show your published websites to the public, and to comply with the law. This includes sending it to the service providers listed in our Privacy Policy. This license ends when you delete the Content or your account, except for copies we must keep for legal reasons or that remain for a limited time in backups.
We don’t sell your Content or use it to train AI models. We may use aggregated, de-identified information that can’t reasonably identify you or your business (for example, how many sites were published this month) to understand and improve Thoth.
You are responsible for your Content. You confirm that you have all the rights needed to upload and use it, including images, logos, product photos, descriptions, and the personal information of your customers, and that your Content and its use through Thoth don’t violate any law or anyone’s rights.
If you send us ideas or feedback about Thoth, we may use them without any obligation to you.
6. Our service
Thoth, including its software, design, templates, and branding, belongs to us and our licensors and is protected by law. We give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service under these Terms. You may not copy, resell, sublicense, or reverse engineer the Service, or use the Thoth name or logo in a way that suggests we endorse you, except as the law allows. Templates and design elements we provide may be used only on websites built and hosted with Thoth.
7. Acceptable use
Do not use Thoth, or any website published with it, to:
- Break any law or regulation, or help anyone else do so.
- Sell or promote illegal, counterfeit, stolen, recalled, or dangerous goods or services, including weapons, ammunition, explosives, drugs or drug paraphernalia, tobacco, vapes, alcohol, cannabis or CBD, prescription medicines, supplements with health claims, gambling, adult or sexual content, or anything on Stripe’s list of restricted businesses.
- Run scams, pyramid or multi-level marketing schemes, get-rich-quick offers, or investment, crypto, or money-making opportunities.
- Mislead or defraud customers, make false health, safety, or earnings claims, or post fake reviews, testimonials, or endorsements.
- Impersonate any person or business, or copy someone else’s brand or website.
- Infringe anyone’s copyright, trademark, privacy, publicity, or other rights.
- Collect personal information without proper notice and consent, or misuse information from your customers or site visitors.
- Send spam or unsolicited messages, or harass, threaten, bully, or harm others.
- Post hateful, violent, sexually explicit, or otherwise harmful content, or any content that sexualizes or endangers minors.
- Upload viruses or malicious code, or interfere with, overload, probe, or try to break into Thoth, its providers, or other users’ accounts.
- Scrape the Service, access it with bots or automated tools (other than features we provide), try to get around plan limits or safety features, or try to make the AI produce harmful content.
- Resell, rent, or share access to the Service or its AI, or use it to build a competing product.
We may review, remove, or disable Content, take down published websites, limit features, or suspend or close accounts that we reasonably believe break these rules, put others at risk, or create legal risk for us, with or without notice. We may also report illegal activity to the authorities.
8. Published sites and selling
When you publish a website or sell anything through Thoth, you are the seller and you alone run your business. Thoth only provides the software and hosting and is not a party to any sale. You are responsible for your products and services and everything about selling them, including:
- Prices, descriptions, product claims, and photos being accurate and lawful.
- Product safety, quality, labeling, licenses, permits, and any required insurance.
- Delivery, returns, refunds, warranties, customer service, and disputes with your customers.
- Collecting, reporting, and paying all taxes, including sales tax and income tax.
- Following consumer protection, privacy, advertising, and email marketing laws (such as the CAN-SPAM Act), including only emailing people who agreed to hear from you and honoring unsubscribe requests.
- Posting your own refund, shipping, and terms of sale policies, and keeping the privacy notice on your site accurate. Thoth adds a basic privacy page to each published site, but you are responsible for making sure it fits your business.
Your customers’ personal information that you collect through Thoth belongs to your business. We process it on your behalf to provide the Service, and you must have a lawful basis to collect and use it.
Payments are processed by Stripe. To accept payments you must create a Stripe account and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Terms”). You authorize us to share information about you and your transactions with Stripe and to receive information from Stripe. You are responsible for chargebacks, refunds, fees, fines, and penalties connected to your sales. Thoth does not hold your customers’ money; payouts, holds, and reserves are handled by Stripe under the Stripe Terms. If we charge a platform fee on sales, we will show it to you before you turn on payments.
9. Copyright complaints
We respect intellectual property rights and respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on Thoth or on a website published with Thoth infringes your copyright, send a notice to our designated copyright agent at thoth.ai.biz@gmail.com with the subject line “DMCA Notice.” Your notice must include:
- Your physical or electronic signature.
- A description of the copyrighted work you claim is infringed.
- The web address or other details that let us find the material.
- Your name, address, phone number, and email address.
- A statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.
If your content was removed and you believe it was a mistake or misidentification, you may send us a counter-notice as allowed by the DMCA. We will close the accounts of users who repeatedly infringe others’ rights in appropriate circumstances. Sending a false notice or counter-notice may make you liable for damages.
10. Plans, billing, and automatic renewal
Thoth has a free plan and paid plans. Prices, features, and limits, such as AI messages and web searches, are shown on our pricing page and at checkout. Limits reset at the start of each calendar month and unused amounts don’t carry over.
Paid plans renew automatically. When you start a paid plan, you authorize us (through Stripe) to charge your payment method the price shown at checkout, plus any applicable taxes, at the start of the plan and again at the start of every renewal period (each month for monthly plans, each year for yearly plans) until you cancel. If an introductory or promotional price applies, checkout will show it, how long it lasts, and the regular price that will be charged after it ends.
How to cancel. You can cancel anytime online in Settings, or by emailing thoth.ai.biz@gmail.com. Cancel before your renewal date to avoid being charged for the next period. After you cancel, your plan stays active until the end of the period you already paid for, then moves to the free plan. For yearly plans, we will email you a reminder before the renewal date.
Refunds. Except where the law requires otherwise, payments are non-refundable and we don’t give refunds or credits for partial periods, unused limits, or downgrades. If you think you were charged by mistake, contact us within 60 days and we will look into it.
Price changes. We may change prices. We will tell you by email at least 30 days before a new price applies to your plan, and it will take effect at your next renewal after that notice. If you don’t want to pay the new price, cancel before it takes effect.
Failed payments. If a payment fails, we may retry it, and we may move your account to the free plan or limit features until it is paid. When an account moves to a plan without website features, its published sites may be taken offline, but your data is kept so you can restore them by upgrading.
11. Free, beta, and upcoming features
Features marked as free, beta, preview, or “coming soon” are provided as they are and may change, be limited, or be removed at any time. Features described as coming soon are plans, not promises, and you should not buy a plan expecting a feature that isn’t available yet.
12. Third-party services
Thoth relies on other companies, including Google sign-in, Stripe, our AI provider, our hosting and database providers, and websites found through web search. Your use of those services may be covered by their own terms and privacy policies. We aren’t responsible for third-party services, websites, products, or content, or for outages or changes on their side.
13. Ending your use
You can stop using Thoth and delete your account at any time in Settings. Deleting your account takes your published websites offline and deletes your Content as described in our Privacy Policy, so download anything you want to keep first.
We may suspend or end your access, or remove published sites, if you break these Terms, if your use creates risk or possible legal exposure for us or others, if we are required to by law, or if your account has been inactive on the free plan for more than 12 months. We may also change, suspend, or stop offering all or part of the Service. If we stop offering the Service entirely, we will try to give you at least 30 days’ notice so you can download your data, and we will refund any prepaid amount for time after the Service ends.
Sections that by their nature should continue after your account ends will continue, including those about your Content, our service, payments owed, disclaimers, limits on liability, indemnification, and disputes.
14. Disclaimers
To the fullest extent the law allows, the Service, including all AI output, is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Service will meet your needs, that any business will succeed, or that your data or published sites will never be lost, so keep your own copies of anything important.
Some places don’t allow certain warranties to be excluded, so some of these disclaimers may not apply to you.
15. Limits on liability
To the fullest extent the law allows, Thoth AI LLC and its owners, members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, sales, business opportunities, goodwill, or data, even if we were told they were possible. Our total liability for all claims relating to the Service or these Terms is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or $50.
These limits apply to every kind of claim, whether in contract, tort (including negligence), or otherwise, and are an essential part of the deal between you and us. They don’t limit liability that the law doesn’t allow to be limited, such as for fraud or intentional misconduct.
16. Indemnification
To the extent the law allows, you agree to defend, indemnify, and hold harmless Thoth AI LLC and its owners, members, managers, employees, and agents from and against any claims, lawsuits, demands, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) that arise from or relate to: your Content; your published websites; the products or services you sell or promote; your dealings with your customers, suppliers, or other third parties; your taxes; your violation of these Terms or any law; or your infringement of anyone’s rights. We may take over the defense of any such claim at your expense, and you will cooperate with us. If you are under 18, your parent or guardian makes this promise on your behalf.
17. Disputes and arbitration
Talk to us first. If you have a dispute with us, email thoth.ai.biz@gmail.com with a description of the problem and what you want. You and we agree to try in good faith to resolve it informally for at least 30 days before starting arbitration or a court case.
Binding individual arbitration. If we can’t resolve it, you and we agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or its Commercial Arbitration Rules if you use Thoth for a business. The Federal Arbitration Act governs this section. The arbitration will take place in Queens County, New York, or by video or phone, unless the arbitrator decides otherwise, and the arbitrator’s decision may be entered in any court with jurisdiction. Fees will be paid as the AAA rules require.
Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court to stop the infringement or misuse of intellectual property.
Class action and jury waiver. You and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not combine more than one person’s claims. You and we both give up the right to a jury trial.
Opting out. You can opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing thoth.ai.biz@gmail.com with your name, the email you use for Thoth, and a clear statement that you are opting out of arbitration. Opting out doesn’t affect anything else in these Terms.
If this section doesn’t apply. If the class action waiver is found unenforceable for a claim, that claim will be decided in court, not arbitration. Any dispute that isn’t arbitrated will be brought only in the state courts located in Queens County, New York, or the federal courts for the Eastern District of New York, and you and we consent to the personal jurisdiction of those courts.
Time limit. To the extent the law allows, any claim relating to these Terms or the Service must be brought within one year after it arises, or it is permanently barred.
18. Governing law
These Terms are governed by the laws of the State of New York, USA, and applicable U.S. federal law, without regard to conflict-of-law rules.
19. Changes to these terms
We may update these Terms from time to time. When we do, we will change the date at the top. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect, unless the change is required by law or addresses new features or misuse, in which case it may take effect sooner. If you keep using Thoth after a change takes effect, you accept the updated Terms. If you don’t agree, stop using Thoth and delete your account. Changes to the “Disputes and arbitration” section won’t apply to disputes that we already knew about before the change.
20. General
- Entire agreement. These Terms, the Privacy Policy, the Cookie Policy, and any terms shown at checkout are the entire agreement between you and us about the Service and replace any earlier agreements about it.
- Severability. If any part of these Terms is found unenforceable, it will be limited to the minimum extent necessary and the rest will stay in effect.
- No waiver. If we don’t enforce a part of these Terms, that doesn’t mean we give up the right to enforce it later.
- Assignment. You may not transfer these Terms or your account without our written permission. We may transfer them, for example as part of a merger, acquisition, or sale of assets.
- Events beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as outages at our providers, internet failures, natural disasters, or government action.
- Electronic communications. You agree to receive notices, agreements, and receipts electronically by email or in the app, and these satisfy any requirement that they be in writing. Notices to us must be sent to thoth.ai.biz@gmail.com.
- No third-party beneficiaries. These Terms don’t give rights to anyone other than you and us.
- Headings. Section titles are for convenience only and don’t change the meaning of these Terms.
